1. Introduction and Acceptance of Terms

Welcome to Nyaya ("we," "our," "us," or "the Platform"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User"), and Nyaya, concerning your access to and use of the Nyaya website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto. You agree that by accessing the Platform, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates.

2. Crucial Disclaimer Regarding Artificial Intelligence and Legal Advice

Notice of AI Limitations

NYAYA IS AN ARTIFICIAL INTELLIGENCE RESEARCH INSTRUMENT, NOT A LAW FIRM, ATTORNEY, OR SUBSTITUTE FOR PROFESSIONAL LEGAL COUNSEL.

The outputs, summaries, citations, and draft documents generated by Nyaya are derived from probabilistic artificial intelligence models analyzing public legal datasets (including the BNS, BNSS, BSA, and various judicial precedents). By using this service, you explicitly acknowledge and agree to the following conditions regarding generative artificial intelligence:

  • AI Hallucinations: GenAI systems can create information that appears plausible but is incorrect or fabricated. Nyaya might cite non-existent precedents, misinterpret provisions, or confidently provide wrong arguments.
  • Absence of Human Judgment: AI does not possess human reasoning, moral context, or localized legal context. It identifies patterns, not absolute truths of the law.
  • Mandatory Human Review: You must independently verify all citations, sections, and case laws generated by the AI before utilizing them in court filings or client advisory.
  • No Attorney-Client Privilege: The use of Nyaya does not establish an attorney-client relationship. Chats and prompts are not protected by attorney-client privilege.

Under no circumstances shall Nyaya, its developers, its investors, or its affiliates be held liable for any legal penalties, dismissed cases, judicial sanctions, malpractice claims, or damages of any kind resulting from reliance on the Platform's outputs. You bear the sole and absolute responsibility for the legal advice you dispense and the documents you file.

3. User Representations and Warranties

By using the Platform, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms; (4) you are not under the age of 18; (5) you are a legal professional, law student, or otherwise possess the necessary legal acumen to evaluate the accuracy of AI-generated legal outputs; (6) you will not access the Platform through automated or non-human means, whether through a bot, script, or otherwise; (7) you will not use the Platform for any illegal or unauthorized purpose; and (8) your use of the Platform will not violate any applicable law or regulation.

4. Prohibited Activities and Acceptable Use Policy

You may not access or use the Platform for any purpose other than that for which we make the Platform available. The Platform may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Platform, you agree not to:

  • Systematically retrieve data or other content from the Platform to create or compile a database without written permission.
  • Circumvent, disable, or otherwise interfere with security-related features of the Platform.
  • Engage in unauthorized framing of or linking to the Platform.
  • Engage in any automated use of the system, such as using scripts to send messages, or using data mining, robots, or similar data extraction tools.
  • Attempt to bypass any measures of the Platform designed to prevent or restrict access.
  • Use the Platform to generate fraudulent documents, perjurious affidavits, or illegal content.

5. Intellectual Property Rights

Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us, and are protected by copyright and trademark laws.

User Inputs and AI Outputs: You retain full ownership of the inputs (prompts, queries, uploaded documents) you provide to the Platform. Subject to your compliance with these Terms, Nyaya hereby assigns to you all its right, title, and interest in and to the specific outputs produced by the AI in direct response to your inputs. However, due to the nature of machine learning, outputs may not be unique across users, and the Platform may generate the same or similar output for a third party.

6. Data Collection, Privacy, and Confidentiality

Protecting the confidentiality of your research is foundational to Nyaya. We care about data privacy and security. Below is a comprehensive overview of our data practices.

A. Data We Collect

  • Account details: Email address, billing info, and credentials.
  • Conversational Queries: Prompts, legal queries, and document uploads.
  • Usage Analytics: Messaging volume, API calls, and interaction latency.

B. How We Use and Protect Your Data

The data collected is utilized solely to operate, maintain, and secure the Platform. We do not sell your personal data or your client's data to third-party data brokers. We do not use your private legal queries or uploaded files to train, fine-tune, or improve our base AI models.

7. Subscriptions, Billing, and Refund Policy

Nyaya operates on a tiered subscription model. Free tier users are granted a limited, restricted number of daily queries. Premium users are billed based on the plan selected to access higher limits, faster query resolution times, and document parsing features.

The 7-Day Refund Guarantee

  • Within 7 Days: You may request a full refund if you cancel within the first seven (7) days of your initial Premium subscription purchase, provided you have not egregiously consumed AI computing resources (e.g. generating more than 500,000 tokens).
  • After 7 Days: ABSOLUTELY NO REFUNDS ARE PROVIDED AFTER THE 7-DAY WINDOW HAS CLOSED. We do not offer prorated refunds for partially used months or years.
  • Abuse Clause: We reserve the right to deny any refund request if our analytics indicate bandwidth abuse, API exploitation, or malicious activity.

8. Limitation of Liability and Disclaimers

THE PLATFORM IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, MALPRACTICE CLAIMS, LOSS OF CLIENTS, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your contributions; (2) use of the Platform; (3) breach of these Terms; or (4) your violation of the rights of a third party.

10. Dispute Resolution, Arbitration, and Class Action Waiver

Binding Arbitration: Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms or the breach, termination, or validity thereof, shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, India. The language of the arbitration shall be English.

Class Action Waiver: YOU AND NYAYA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11. Governing Law & Jurisdiction

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause above, you agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in New Delhi, India.

12. Modifications to Service and Interruptions

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Platform without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Platform.
