A company may, by a special resolution, appoint a managing director, whole-time director or manager for such period, not exceeding five years, as may be specified in the resolution, and may, from time to time, re-appoint him for such period, not exceeding five years, as may be specified in the resolution. The appointment of a managing director, whole-time director or manager shall be made by a resolution passed in accordance with the provisions of section 166.
