What does Section 182 of Companies Act say?

The terms and conditions of appointment of a managing director, whole-time director or manager shall be such as may be determined by the Board, and shall be consistent with the articles of the company. The terms and conditions of appointment of a managing director, whole-time director or manager shall include the remuneration payable to him, the duration of his appointment, the powers and duties of the managing director, whole-time director or manager, and such other matters as may be specified in the articles of the company. The Board may, from time to time, vary the terms and conditions of appointment of a managing director, whole-time director or manager, and such variation shall be consistent with the articles of the company.
