A company may be registered under this Act in the following cases, namely: (a) where the company is to be formed by transfer of undertaking or a part of undertaking of a company or a limited liability partnership or a partnership firm or a Hindu undivided family or an association of persons or a body corporate or any other entity; (b) where the company is to be formed by division of a company or a limited liability partnership or a partnership firm or a Hindu undivided family or an association of persons or a body corporate or any other entity.
