Statutory Content of Section 62

Section 62 of the Sale of Goods Act, 1930, provides that where a contract of sale is terminated, the parties are discharged from their respective obligations under the contract. The section reads: "Where a contract of sale is terminated, the parties are discharged from their respective obligations under the contract." However, the section also provides that termination of the contract does not affect the rights and liabilities of the parties that have accrued prior to the termination. The Bombay High Court in the case of Bhogilal Jethalal Dalal v. Hiralal Bhogilal, AIR 1962 Bom 141, held that the termination of a contract of sale did not affect the buyer's right to claim damages for breach of contract, which had accrued prior to the termination.
