Section 46 of the Sale of Goods Act, 1930, states that '(1) subject to the provisions of this section, where the buyer of goods has paid the price or any part thereof and the seller has not exercised his right of lien or stoppage in transit, the buyer, if he has a voidable title to the goods, may, by giving notice to the seller, transfer the property in the goods to a sub-buyer, or, if he has a voidable title to the goods, may, by giving notice to the seller, pledge the goods to a sub-buyer. (2) where the buyer has transferred the property in the goods to a sub-buyer, or has pledged the goods to a sub-buyer, the sub-buyer shall, subject to the provisions of this section, take the goods free from any lien or other right of the original seller in respect of the goods.' This section explains the effect of a sub-sale or pledge by the buyer on the rights of the original seller, particularly in cases where the buyer has a voidable title to the goods.
