Section 34 of the Negotiable Instruments Act, 1881, deals with the situation where the consideration for a negotiable instrument partially fails. The section states: 'Where a part of the consideration for which a person signed a promissory note, bill of exchange or cheque, though committed to writing, is to pay a debt, or to perform any other contract of the drawer or indorser, and a part of such debt or contract remains unsatisfied, or has been satisfied otherwise than by the payment of money, or has become incapable of being so satisfied or performed, the instrument shall, to the extent of the consideration which has failed, be void, unless the drawer or indorser, at the time of drawing, accepting, or indorsing the instrument, or any person before or at the time of the delivery thereof to the holder, has expressly stipulated that the instrument should be paid or performed notwithstanding the failure of such consideration.' This provision aims to balance the rights of the parties involved by allowing for the partial failure of consideration to affect the enforceability of the instrument only to the extent of the failed consideration, provided there was no express stipulation to the contrary. Judicial interpretations have focused on the necessity of proving that the consideration has partially failed and that there was no agreement to pay the instrument regardless of such failure.
