Statutory Content of Section 120

Section 120 of the Indian Contract Act, 1872, addresses the time for performance of a promise when no application is to be made and no time is specified. It states: 'When the performance of a promise is not fixed by the contract to take place at a given time, the promisor must perform it within a reasonable time, and the promisee is not bound to apply for performance before the expiration of that time.' This section emphasizes that if the contract does not specify a time for performance, the promisor must perform the promise within a reasonable time. The promisee is not required to demand performance before the lapse of this reasonable time. Judicial interpretations have clarified that what constitutes a 'reasonable time' depends on the circumstances of the contract and the nature of the promise.
