A limited liability partnership may be dissolved by a special resolution passed by a majority of three-fourths of the partners. The limited liability partnership shall, within thirty days from the date of passing of the special resolution, file a notice of dissolution with the Registrar. The limited liability partnership shall also give a notice of its intention to dissolve to all its creditors and debtors. The limited liability partnership shall, within a period of one hundred and eighty days from the date of passing of the special resolution, wind up its business and distribute its assets in accordance with the provisions of this Act. The limited liability partnership shall, within a period of one hundred and eighty days from the date of passing of the special resolution, file a return of the dissolution with the Registrar.
