What does Section 65 of Companies Act say?

A managing director or whole-time director shall vacate office if he incurs any of the disqualifications specified in section 164. A managing director or whole-time director shall vacate office if he is required to do so by a special resolution passed at a general meeting of the company. A managing director or whole-time director shall vacate office if he is removed from office by the company in general meeting. A managing director or whole-time director shall vacate office if he is required to do so by the Central Government. A managing director or whole-time director shall vacate office if he is required to do so by the Tribunal. A managing director or whole-time director shall vacate office if he is required to do so by the company in accordance with the articles. A managing director or whole-time director shall vacate office if he ceases to be a director by virtue of any order made under the Companies Act, 1956. A managing director or whole-time director shall vacate office if he is required to do so by any other law for the time being in force.
