What does Section 39 of Companies Act say?

A director may resign from office by giving notice in writing to the company. The notice shall be given to the company at least fourteen days prior to the date of resignation. The company shall intimate the registrar the resignation of the director within thirty days from the date of receipt of the notice. The director shall be deemed to have vacated office on the date of resignation.
