What does Section 234 of Companies Act say?

The Tribunal may, by an order, direct the winding up of a company, if it is satisfied that the company is unable to pay its debts, or that the company has committed a breach of any of the provisions of this Act, or that the company has acted in a manner prejudicial to the interests of its members or creditors.
