Statutory Content of Section 32

Section 32 of the Sale of Goods Act, 1930, states: 'Unless otherwise agreed, delivery of the goods and payment of the price are concurrent conditions, that is to say, the seller shall be ready and willing to give possession of the goods to the buyer in exchange for the price, and the buyer shall be ready and willing to pay the price in exchange for possession of the goods.' This section highlights the concurrent nature of payment and delivery, meaning that both parties must be ready to perform their respective obligations simultaneously. The section provides that the seller and buyer must be ready and willing to exchange the goods for the price. In the case of Hyman v. Nye, the court held that the buyer's refusal to pay the price unless the seller delivers the goods, and the seller's refusal to deliver the goods unless the buyer pays the price, can lead to a deadlock, and the party who has refused to perform their obligation can be held liable for breach of contract.
