A limited liability partnership may be wound up by the Tribunal in the following cases: (a) if the limited liability partnership has by a special resolution resolved that the limited liability partnership be wound up; (b) if the limited liability partnership has not commenced its business within one year from the date of its incorporation; (c) if the limited liability partnership has defaulted in paying any call made under section 37; (d) if the limited liability partnership has acted in a manner prejudicial to the interests of its members or creditors; (e) if the limited liability partnership has failed to pay any debt due to its creditors; (f) if the limited liability partnership has failed to comply with any provision of this Act.
