धारा 22

A person shall not be appointed as a director of a company if he is less than eighteen years of age or if he is of unsound mind and stands so declared by a competent court or if he is an undischarged insolvent or if he has been convicted by a court of any offence involving moral turpitude and sentenced in respect thereof to imprisonment for a term of not less than six months. A person shall not be appointed as a director of a company if he is not a natural person. A person shall not be appointed as a director of a company if he is not a citizen of India or a citizen of a country which permits citizens of India to enter and stay in that country for any period.
