The managing director, whole-time director or manager of a company shall have such powers and duties as may be specified in the articles of the company or as may be determined by the Board. The managing director, whole-time director or manager shall be responsible for the management of the company and shall have the powers to do all such acts and things as are necessary for the management of the company. The managing director, whole-time director or manager shall have the power to make decisions on behalf of the company and shall have the power to enter into contracts on behalf of the company.
