A company already registered under the Companies Act, 1956, which has not been registered under this Act, and which has changed its name, shall, within a period of one year from the commencement of this Act, make an application to the Registrar for registration under this Act. The Registrar shall, on receipt of the application, verify the documents and information furnished by the applicant and, if satisfied, issue a certificate of incorporation. The certificate of incorporation shall be conclusive evidence that all the requirements of this Act in respect of registration and matters precedent and incidental thereto have been complied with. The company shall be registered as a public company or a private company, as the case may be.
