The quorum for a meeting of the board of directors shall be two directors. If at any meeting of the board there is only one director present, the meeting shall be valid notwithstanding anything to the contrary in the articles. The director present at the meeting shall be deemed to be the chairman of the meeting. If at any meeting of the board there are two or more directors present, the chairman of the board or, in his absence, the director present at the meeting who is senior in terms of age, shall be the chairman of the meeting. The chairman of the meeting shall have the right to speak and vote at the meeting. The chairman of the meeting shall also have the right to adjourn the meeting. The chairman of the meeting shall also have the right to call a meeting of the board at any time. The chairman of the meeting shall also have the right to call a meeting of the board at any time.
