What does Section 54 of Stamp Act, 1899 say?

Where any instrument is executed by or on behalf of a company, the duty thereon shall be paid by the company, and the instrument shall not be registered until the duty has been paid. The duty shall be calculated at the rate at which it would have been payable if the instrument had been executed by a private person.
