If any person, being a director, manager or secretary of a company, or being in any manner, directly or indirectly, responsible for the issue of any securities, makes or circulates any statement, whether orally or in writing, relating to any matter, to which this Chapter applies, which is false or misleading in any material particular, he shall be punishable with imprisonment for a term which may extend to five years, or with fine which may extend to five lakh rupees, or with both.
