Section 355

The casual vacancies in the office of directors shall be filled by the board of directors. The board of directors shall fill the casual vacancies by appointment of a director. The board of directors shall fill the casual vacancies by appointment of a director within thirty days from the date of occurrence of the vacancy. The board of directors shall fill the casual vacancies by appointment of a director by a majority vote of the directors present at the meeting. The board of directors shall fill the casual vacancies by appointment of a director by a majority vote of the directors present at the meeting, provided that the number of directors present at the meeting is not less than two-thirds of the total number of directors for the time being in office.
