What does Section 184 of Companies Act say?

Where a company has only one director, it may, notwithstanding anything contained in this Act, appoint a managing director, whole-time director or manager for such period, not exceeding five years, as may be specified in the resolution, and may, from time to time, re-appoint him for such period, not exceeding five years, as may be specified in the resolution. The appointment of a managing director, whole-time director or manager shall be made by a resolution passed in accordance with the provisions of section 166. The managing director, whole-time director or manager shall be appointed for such period, not exceeding five years, as may be specified in the resolution, and may, from time to time, be re-appointed for such period, not exceeding five years, as may be specified in the resolution.
