What does Section 166 of Companies Act say?

The Central Government may, if it considers necessary or expedient so to do for the better discharge of its functions or for the purpose of giving effect to the provisions of this Act, issue directions to the Board of a company, and the Board and the company shall be bound to comply with such directions.
